Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and TradeAI News LLC, a limited liability company organized under the laws of the State of Wyoming, United States, with its registered office at 30 N Gould St, Ste N, Sheridan, WY 82801 ("TradeAI News", "we", "us").

They govern your use of the website at tradeainews.com, the TradeAI News dashboard, our email digests, our Telegram delivery, and our application programming interface (together, the "Service").

By creating an account, subscribing, or otherwise using the Service, you accept these Terms, our Privacy Policy and our Risk Disclosures, each of which is incorporated here by reference. If you do not accept them, do not use the Service.

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. The Service is not directed to children, and we do not knowingly collect information from anyone under 18.

You are responsible for complying with the laws of the place you access the Service from. We make no representation that the Service is appropriate or available in any particular jurisdiction.

TradeAI News is a market intelligence tool. It filters publicly available market information and news, and presents observations about the significance and magnitude of market events.

The Service does not:

• provide investment advice, personalized or otherwise;
• recommend buying, selling, or holding any security;
• predict the direction of any price;
• execute, route, or transmit orders;
• manage assets or exercise discretion over any account.

We are not a broker-dealer, not an investment adviser, not a futures commission merchant, and not a financial institution. No content on the Service is a recommendation, a solicitation, or an offer to transact in any security.

Nothing in the Service creates a fiduciary, advisory, or agency relationship between you and us. Every decision you make with information from the Service is yours alone.

The Risk Disclosures document explains this in more detail, including the limits of our data and our models. Read it. It is part of this agreement.

You create an account with an email address and a one-time code sent to that address. You are responsible for keeping access to that mailbox secure, and for everything that happens under your account.

One account per person. You may not share credentials, and you may not let another person or system use your account. If you believe your account has been accessed without your authorization, tell us at support@tradeainews.com.

We may suspend or close an account that violates these Terms, that is used to abuse the Service, or that we are required to close by law. If we close your account for a reason other than your breach of these Terms, we will refund the unused portion of any period you have already paid for.

The Service is offered on a free plan and on paid subscription plans. The plans currently available, what each one includes, and its price are listed at tradeainews.com/pricing, and that page governs. Prices are stated in US dollars and exclude any taxes that may apply to you.

Payment is processed by Stripe, Inc. We do not receive or store your full card number. Your use of Stripe is subject to Stripe's own terms.

Price changes. We may change prices. A change to the price of a plan you are already subscribed to takes effect only at your next renewal, and we will tell you by email at least 30 days before that renewal. If you do not want the new price, cancel before the renewal date and you will not be charged it.

This section is the one to read before you subscribe.

• Subscriptions renew automatically at the end of each billing period — monthly for monthly plans, annually for annual plans — and your payment method is charged the then-current price for that plan.
• They renew until you cancel. There is no fixed end date.
• You can cancel at any time, from your account dashboard, in the same number of steps it took to subscribe. Cancellation does not require contacting support, and we will not ask you to call anyone.
• Cancelling stops the next charge. Your access continues until the end of the period you have already paid for.
• Your dashboard shows the date your subscription renews, and lets you cancel there.
• If you need a receipt or an invoice for any charge, write to support@tradeainews.com and we will send it.

If any of the above conflicts with a mandatory rule of the place you live, that rule applies and this section is read accordingly.

6.1 Free trials

Some plans start with a free trial. If yours does:

• The trial converts into a paid subscription automatically when it ends, and your payment method is charged the plan's price for the first period.
• You can cancel at any time during the trial and you will not be charged anything. Cancelling during the trial ends your access at the end of the trial.

7.1 General. Subscriptions are charged in advance for the period they cover. Cancelling part-way through a period does not, by itself, entitle you to a refund of that period — but the two cases below do, and we will also refund on request where a charge was clearly a mistake.

7.2 Billing errors. If you were charged in error — a duplicate charge, a charge after cancellation, a charge at the wrong price — tell us within 60 days of the charge at support@tradeainews.com and we will refund it in full.

7.3 Consumers in the EU and the UK: your 14-day right of withdrawal.

If you are a consumer resident in the European Union or the United Kingdom, you have the right to withdraw from your subscription within 14 days of entering into it, without giving any reason and without penalty.

• To withdraw, tell us at support@tradeainews.com. A clear statement is enough — there is no required wording, and you do not need to use a form.
• If you withdraw within the 14 days, we refund everything you paid, within 14 days of being told, using the same payment method. We do not deduct anything for the days you used the Service.

7.4 Other consumer rights. Nothing in these Terms limits any right you have under the consumer law of the place you live that cannot be limited by agreement.

You may use the Service for your own trading, research and analysis. You may not:

• resell, redistribute, republish or sublicense any data, score, or output from the Service, whether as-is or reformatted, to anyone else;
• scrape, crawl, or bulk-extract content from the Service, or access it by any automated means other than our API within the limits of your plan;
• reverse-engineer, decompile or attempt to reconstruct our models, scoring methods, or the logic behind any output;
• share, transfer or publish your credentials or API keys, or use one account to serve several people or organizations;
• use the Service to break the law, to manipulate a market, or in connection with any activity that would breach securities, sanctions, or anti-money-laundering rules;
• interfere with the Service, its security, or its availability, or attempt to access data that is not yours.

Market data restriction. Parts of the Service are built on data licensed to us from third parties, including exchanges and market data vendors. That data — and values derived from it — is licensed to you for your own internal use only, and your rights in it end when your subscription does. We may have to change or withdraw a feature if a data provider requires it.

If your plan includes API access, it is subject to these Terms plus the rate limits and usage limits published in our API documentation, which may change.

• API credentials are personal to your account. Publishing an API key is a breach of these Terms, and we will revoke it.
• Output from the API is for use inside your own systems. It may not be redistributed, resold, or displayed to third parties without our written permission.
• We may throttle, suspend, or revoke API access that threatens the stability of the Service or breaches this section.

Some features let you store your own material — journal entries, watchlists, notes, broker exports.

It stays yours. You grant us only the limited licence we need to store, process and display it back to you, and to operate the Service. It is never published, never sold, never shown to other users, and never used to train models. How we handle it is set out in the Privacy Policy, and you can delete it yourself at any time.

You are responsible for having the right to upload whatever you upload.

We work to keep the Service running, but we do not promise that it will be available without interruption, that it will be free of errors, or that any particular data, feed or feature will keep working. Market data sources fail, change their terms, and go offline, sometimes with no notice.

The Service, and everything in it, is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, timeliness, or non-infringement.

We may add, change, or remove features. If we remove something material from a paid plan, we will tell you, and you may cancel and receive a pro-rata refund of the unused period.

Nothing here limits liability that cannot be limited by law — including liability for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence. If you are a consumer, nothing here limits your mandatory statutory rights.

Subject to that:

• We are not liable for any trading loss, lost profit, lost opportunity, or lost data arising from your use of the Service, or from your reliance on anything it shows you.
• We are not liable for indirect, incidental, special, consequential, or punitive damages.
• Our total liability to you, for all claims taken together, is limited to the amount you paid us in the 12 months before the event giving rise to the claim — or $100 if you paid us nothing.

If someone brings a claim against us because of how you used the Service — in breach of these Terms, in breach of the law, or in breach of someone else's rights — you will cover our reasonable costs and damages in defending it. We will tell you promptly about any such claim and will not settle it without talking to you.

These Terms apply for as long as you have an account.

You may close your account at any time from the dashboard. Closing it deletes your data as described in the Privacy Policy.

We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if we stop offering the Service. If we stop offering the Service, we will give you at least 30 days' notice and refund any unused paid period.

Sections 8 (to the extent it concerns data already received), 10, 11, 12, 13, 15 and 16 survive termination.

We may update these Terms. Every version carries a version number and an effective date, and the previous versions stay available at tradeainews.com/legal/archive.

• For changes that are material and adverse to you — price structure, liability, dispute resolution, how we use your data — we will notify you by email at least 30 days before they take effect, and you may cancel before then without penalty.
• For all other changes, the updated version applies from its effective date.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The courts located in Wyoming have exclusive jurisdiction, and you and we submit to that jurisdiction.

If you are a consumer resident in the European Union or the United Kingdom, this does not deprive you of the protection of the mandatory consumer law of your country of residence, and you may bring proceedings in the courts of that country.

Before filing anything, please write to legal@tradeainews.com and give us 30 days to resolve it. Most things end there.

• Whole agreement. These Terms, the Privacy Policy and the Risk Disclosures are the entire agreement between us about the Service.
• Severability. If a court finds any part unenforceable, the rest stays in force.
• No waiver. If we do not enforce something immediately, we have not given it up.
• Assignment. You may not transfer your account or these Terms. We may assign them in connection with a merger, acquisition, or sale of assets, on notice to you.
• Force majeure. Neither of us is liable for failures caused by events outside reasonable control.
• Language. These Terms are written in English. Any translation is for convenience, and the English version governs.
