Registration statements and prospectuses, as they reach EDGAR

Registration statements and prospectuses filed with the SEC, across the whole market. Listed by filing date. Every row is one SEC filing with its form and filing date, linked to the document on sec.gov. There are no amounts or rankings: what an offering means for a company is in its terms, and the filing is one click away.

HOW THIS IS CALCULATED
Source: SEC EDGAR daily index, read once a day after the SEC publishes it (around 10:30 pm ET). Forms covered: S-1, S-3, F-1 and F-3 with their amendments, S-3ASR, F-3ASR, 424B4 and 424B5. Filings are matched to tickers through the SEC company list. A registration statement or prospectus does not by itself show that any shares were sold, how many, or at what price. Rows are listed by filing date; nothing is ranked.

Frequently asked questions

Which filings are listed?
Registration statements on Forms S-1, S-3, F-1 and F-3 with their amendments, the S-3ASR and F-3ASR automatic shelf forms, and prospectuses filed under Rule 424(b)(4) or 424(b)(5). Each row has its form, filing date and a link to the document on sec.gov.
Does a filing mean shares were sold?
A registration statement or prospectus does not by itself show that any shares were sold, how many, or at what price. A shelf registration can sit unused for years, and some of these filings cover debt securities or resales by existing holders. The list records that a filing was made, not what happened afterwards.
Where does the data come from?
From the SEC EDGAR daily index, read once a day after the SEC publishes it. Filings are matched to tickers through the SEC’s company list; an issuer with more than one ticker shows all of them on each row.
Is this a ranking or a warning list?
No. Rows are listed by filing date, with no ranking and no amounts. What a filing means for a particular company depends on its terms, which are in the document itself.
What can I see without an account?
Each ticker page shows the issuer’s offering filings from the last 90 days, or the most recent one in the last 12 months. The market-wide list is on Pro (last 90 days); Elite adds the full series and the CSV export.
